PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING THE ANYBODY APPLICATION. These Terms of Service ("Terms") govern your access to and use of the Anybody mobile application ("App"), website, and related services (collectively, the "Service") operated by AlphaTwelve ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. 1. ELIGIBILITY 1.1. You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. 1.2. You may not use the Service if you have been previously banned or removed from the Service by the Company. 1.3. You may not use the Service if you are prohibited from doing so under applicable law. 2. ACCOUNT REGISTRATION 2.1. To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during the registration process. 2.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. 2.3. You agree to immediately notify us of any unauthorized use of your account or any other breach of security. 2.4. We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice. 2.5. You may only maintain one account. Creating multiple accounts may result in the termination of all your accounts. 3. DESCRIPTION OF SERVICE 3.1. Anybody is a hyper-local, real-time request application that enables users to broadcast immediate needs to people physically nearby. Users can post short requests, discover nearby requests, accept requests, match with other users on a one-to-one basis, and communicate through in-app messaging. 3.2. The Service relies on your device's GPS location to function. You must grant location permissions and be physically present in an area to view and create posts in that area. 3.3. The Service is provided on an "as is" and "as available" basis. We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. 4. USER CONDUCT 4.1. You agree to use the Service only for lawful purposes and in accordance with these Terms. 4.2. You agree NOT to: a. Post content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, sexually explicit, or otherwise objectionable. b. Post content that promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group. c. Post content that involves the sale or distribution of illegal drugs, weapons, stolen goods, or any other illegal items or services. d. Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity. e. Use the Service to solicit, advertise, or promote commercial products or services without our prior written consent. f. Use the Service to engage in any form of spam, phishing, or other deceptive practices. g. Attempt to gain unauthorized access to the Service, other user accounts, or any computer systems or networks connected to the Service. h. Use any automated means, including bots, scrapers, or crawlers, to access or interact with the Service. i. Interfere with or disrupt the Service or servers or networks connected to the Service. j. Use the Service to stalk, harass, bully, intimidate, or threaten any other user. k. Use a false or misleading location or attempt to spoof your GPS location. l. Post content that infringes on the intellectual property rights of any third party. m. Use the Service for any purpose that is fraudulent or otherwise unlawful. 4.3. We reserve the right to remove any content that violates these Terms or that we find objectionable, at our sole discretion and without prior notice. 5. USER CONTENT 5.1. "User Content" means any text, images, photos, messages, and other materials that you post, upload, or transmit through the Service. 5.2. You retain ownership of your User Content. However, by posting User Content through the Service, you grant us a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with operating and providing the Service. 5.3. You represent and warrant that you own or have the necessary rights and permissions to post your User Content and to grant the license described above. 5.4. You are solely responsible for your User Content. We do not endorse, support, represent, or guarantee the completeness, truthfulness, accuracy, or reliability of any User Content. 5.5. We use automated content moderation systems to review User Content. Content that is flagged as inappropriate may be rejected or removed. However, we do not guarantee that all inappropriate content will be detected or removed. 6. PROFILE PHOTOS 6.1. You are required to upload a profile photo that clearly shows your face. The profile photo must be a real photograph of you and not an illustration, cartoon, avatar, or image of another person. 6.2. We use automated systems to verify that profile photos contain a human face. Photos that do not pass this verification may be rejected. 6.3. Using a misleading or false profile photo is a violation of these Terms and may result in account suspension or termination. 7. LOCATION SERVICES 7.1. The Service requires access to your device's GPS location to function. By using the Service, you consent to the collection and use of your location data as described in our Privacy Policy. 7.2. You may not manually select a location or browse areas other than your current physical location. Attempting to spoof or falsify your GPS location is a violation of these Terms. 7.3. Your location data is used to show you nearby posts, to display your posts to nearby users, and to facilitate real-time communication through the Service. 7.4. We do not store your precise location history. Location data associated with posts is retained only for the duration of the post (default: 60 minutes). 8. MATCHING AND COMMUNICATION 8.1. When you respond to a post ("I'm in"), the post creator may select you as a match. Once matched, a private one-to-one chat is opened between you and the other user. 8.2. Only one match is permitted per post. Once a match is made, the post is closed to other users. 8.3. Either party may cancel a match at any time through the chat interface. 8.4. You are solely responsible for your interactions with other users. We do not conduct background checks on users and do not verify the identity, statements, or conduct of users. 9. SAFETY 9.1. YOUR SAFETY IS YOUR RESPONSIBILITY. The Service facilitates connections between strangers. You should exercise caution and good judgment when interacting with other users, especially when meeting in person. 9.2. We strongly recommend that you: a. Meet in public, well-lit places. b. Tell a friend or family member where you are going and who you are meeting. c. Do not share personal financial information with other users. d. Trust your instincts. If something feels wrong, leave the situation. 9.3. If you experience any threatening, harassing, or dangerous behavior from another user, please report the user through the app and contact local law enforcement if necessary. 9.4. You may report or block any user at any time through the Service. Blocked users will not be able to see your posts or contact you. 10. PAYMENTS AND PRICING 10.1. The Service is currently free to use. We reserve the right to introduce paid features, subscriptions, or other monetization methods in the future. 10.2. Any prices listed in posts are set by individual users and represent agreements between users. We are not a party to any financial transactions between users and bear no responsibility for such transactions. 10.3. We do not process payments between users. Any exchange of money or goods between users is conducted at their own risk. 11. INTELLECTUAL PROPERTY 11.1. The Service, including its design, features, functionality, and content (excluding User Content), is owned by the Company and is protected by copyright, trademark, and other intellectual property laws. 11.2. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent. 11.3. The Anybody name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company. You may not use such marks without our prior written permission. 12. THIRD-PARTY SERVICES 12.1. The Service may contain links to or integrations with third-party websites, services, or applications. We are not responsible for the content, privacy policies, or practices of any third-party services. 12.2. Your use of third-party services is at your own risk and subject to the terms and conditions of those services. 13. DISCLAIMER OF WARRANTIES 13.1. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. 13.2. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. 13.3. WE DO NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT AVAILABLE THROUGH THE SERVICE. 13.4. WE DO NOT GUARANTEE THE QUALITY, SAFETY, OR LEGALITY OF ANY POSTS, THE TRUTH OR ACCURACY OF ANY LISTINGS, OR THE ABILITY OF USERS TO COMPLETE TRANSACTIONS. 14. LIMITATION OF LIABILITY 14.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: a. YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; b. ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; c. ANY CONTENT OBTAINED FROM THE SERVICE; d. UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; e. ANY INTERACTIONS WITH OTHER USERS, WHETHER ONLINE OR OFFLINE. 14.2. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER. 14.3. THE LIMITATIONS OF THIS SECTION SHALL APPLY TO ANY THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, AND WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF ANY SUCH DAMAGE. 15. INDEMNIFICATION 15.1. You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from: a. Your use of the Service; b. Your violation of these Terms; c. Your violation of any third-party right, including any intellectual property, privacy, or proprietary right; d. Your User Content; e. Any interaction between you and any other user of the Service. 16. TERMINATION 16.1. We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. 16.2. You may terminate your account at any time by using the "Delete Account" option in the app's Settings screen. Account deletion is immediate and irreversible. 16.3. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability. 17. DISPUTE RESOLUTION 17.1. These Terms shall be governed by and construed in accordance with the laws of Nigeria, without regard to its conflict of law provisions. 17.2. Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through informal negotiation. If the dispute cannot be resolved informally within thirty (30) days, either party may initiate binding arbitration. 17.3. Any arbitration shall be conducted in accordance with the rules of Nigeria and shall take place in Lagos, Nigeria. 17.4. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. 18. CHANGES TO TERMS 18.1. We reserve the right to modify these Terms at any time. If we make material changes, we will notify you through the Service or by other means. 18.2. Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms. 18.3. If you do not agree to the revised Terms, you must stop using the Service. 19. GENERAL PROVISIONS 19.1. These Terms constitute the entire agreement between you and the Company regarding the Service and supersede all prior agreements and understandings. 19.2. Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights. 19.3. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. 19.4. You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. 19.5. These Terms do not create any agency, partnership, joint venture, or employment relationship between you and the Company. 20.
